1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Copago Market Private Limited ("Copago", "we", "us") governing your use of the CoTrade platform at cotrade.copagomarket.com and copagomarket.com.

By registering or using any part of the Platform, you confirm you are at least 18 years old, have authority to bind yourself or your entity, and agree to these Terms and our Privacy Policy.

2. The CoTrade Platform

CoTrade provides:

• A directory of global food importers/buyers from public trade data
• Company profile viewing with trade intelligence (shipments, HS codes, trade values)
• WhatsApp and email campaign tools for buyer outreach
• A leads CRM for managing buyer follow-ups and conversions
• Wallet-based credits for pay-as-you-go and subscription services

We reserve the right to add, modify, or discontinue features with reasonable notice.

3. Account Registration & Security

• You must provide accurate, complete information during registration
• You are responsible for maintaining confidentiality of your login credentials
• Notify us immediately at [email protected] if you suspect unauthorized access
• Each account is for a single business entity — team members may be added with different roles
• We may suspend accounts showing signs of abuse, fraud, or policy violation

4. Subscription Plans & Pricing

4.1 Free Tier: New accounts receive ₹100 in free wallet credits. Free users get 30 minutes of directory browsing per day and pay ₹10 per profile view from their wallet.

4.2 Paid Plans:

4.3 GST: All prices exclude GST unless stated otherwise. 18% GST applies to all payments. GST-compliant invoices generated via Zoho Books.

4.4 Wallet credits are non-transferable. Subscription credits (e.g. 2,500 views from Copago Membership) expire 365 days from plan activation.

5. Payments & No Refund Policy

5.1 Payments: Processed by PayU (RBI-approved, PCI-DSS compliant). We accept debit/credit cards, UPI, and net banking. We never store your card details.

5.2 No Refund Policy:

Technical fault exception: If a payment is debited but the plan or wallet is not activated due to a confirmed technical error on our end, contact us within 7 days at [email protected] with your transaction ID. We will rectify by activating the plan or crediting the wallet. This is not a monetary refund.

By completing a payment, you confirm you have read and accepted this no-refund policy.

6. Acceptable Use Policy

You agree not to:

• Send unsolicited bulk messages (spam) — campaigns must target buyers with legitimate business interest
• Scrape or systematically extract data beyond your plan's view credits
• Share account credentials outside your registered business
• Use the platform in violation of Indian law (IT Act 2000, DPDPA 2023, and related regulations)
• Attempt to reverse-engineer, hack, or disrupt the platform
• Misrepresent your identity or business in campaigns
• Use buyer contact data for purposes other than legitimate B2B food trade outreach

Violation may result in immediate account suspension without refund.

7. WhatsApp & Email Campaign Rules

When using CoTrade's campaign tools, you agree to:

• Comply with Meta's WhatsApp Business Policy — your account must be properly verified
• Send campaigns only to recipients with a legitimate business relationship or opt-in consent
• Clearly identify your company in all communications
• Honor opt-out requests promptly by adding recipients to your exclusion list
• Not send misleading, fraudulent, or illegal content

Copago is a technology facilitator. We are not responsible for message delivery rates, Meta's moderation decisions, or Gmail sending limits. Campaign content and recipient selection are entirely your responsibility.

8. Intellectual Property

8.1 Our IP: The CoTrade platform, codebase, design, and trade database are the exclusive IP of Copago Market Private Limited. No copying or redistribution without written permission.

8.2 Your content: You retain ownership of your campaign content and leads data. You grant us a limited license to store and process it solely to provide the service.

8.3 Trade data: Our buyer/supplier database is licensed to you for platform use only — export, republishing, or reselling is prohibited.

11. Governing Law & Dispute Resolution

These Terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India.

Both parties agree to attempt good-faith negotiation for 30 days before legal proceedings. Disputes under ₹5,00,000 shall be resolved via online arbitration under the Arbitration and Conciliation Act, 1996.

12. Termination

• By you: Close your account anytime by emailing [email protected]. Unused wallet balance and credits are non-refundable (see Section 5).
• By us: We may suspend or terminate for Terms violation, non-payment, or fraud — with 7 days' notice except for serious violations.
• Effect: Access to the platform and data is revoked. Billing records are retained as required by law.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated by email and in-app notification at least 14 days before taking effect. Continued use constitutes acceptance.
